1. Acceptance of Terms

Welcome to the PATHLIGHT B2B Trading Platform (the “Platform”). These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Pathlight Global Limited (“PATHLIGHT”, “we”, “us”, or “our”) governing your access to and use of the Platform.

By accessing, browsing, or utilizing the Platform, you acknowledge that you have read, comprehended, and agreed to be bound by these Terms. If you do not concur with these Terms, you must refrain from accessing or using the Platform.

2. Description of Service

The Platform operates as a B2B trading facilitation service connecting international buyers with authenticated suppliers and manufacturers, with primary focus on Asian markets. The Platform delivers:

• Comprehensive product catalog browsing and advanced search functionality
• Request for Quotation (RFQ) submission and management systems
• Supplier verification and Know Your Business (KYB) protocols
• Trade coordination and logistics facilitation services
• Documentation support and regulatory compliance assistance

Important Notice: PATHLIGHT functions exclusively as a trading facilitator and intermediary. We do not manufacture, sell, distribute, or take title to any products listed on the Platform. All commercial transactions are executed directly between buyers and sellers.

3. Eligibility and Registration

3.1 Eligibility Requirements

To utilize the Platform, you must satisfy the following criteria:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Be a legally registered business entity or authorized representative thereof
• Possess legal capacity to enter into binding commercial contracts
• Not be prohibited from using the Platform under applicable laws or regulations

3.2 Registration Process

Access to certain Platform features requires completion of the registration process, which encompasses:

• Providing accurate, current, and comprehensive business information
• Submitting required documentation for verification (business licenses, tax certificates, etc.)
• Undergoing Know Your Business (KYB) verification procedures
• Maintaining and promptly updating your registration information

3.3 Account Security

You bear responsibility for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to immediately notify us of any unauthorized use or security breach.

4. Platform Use and Conduct

4.1 Permitted Uses

You agree to utilize the Platform exclusively for lawful purposes and in accordance with these Terms, including:

• Submitting genuine RFQs and legitimate business inquiries
• Providing accurate product information and technical specifications
• Communicating professionally with other Platform users
• Complying with all applicable local, national, and international laws

4.2 Prohibited Activities

You expressly agree NOT to:

• Use the Platform for any illegal purpose or in violation of applicable laws
• Submit false, misleading, or fraudulent information
• Engage in deceptive, fraudulent, or harmful commercial practices
• Violate intellectual property rights of PATHLIGHT or third parties
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Platform or user accounts
• Use automated systems (bots, scrapers, spiders) without authorization
• Interfere with or disrupt Platform security, performance, or functionality
• Harass, threaten, or defraud other Platform users
• List prohibited items or items violating applicable laws

5. Product Listings and Transactions

5.1 Product Information

Sellers bear sole responsibility for the accuracy, quality, and legality of product listings, including descriptions, specifications, pricing, imagery, and compliance with applicable laws and industry standards.

5.2 Pricing and Payment

All prices are established by sellers and subject to change without notice. PATHLIGHT does not process payments. Payment terms, methods, and conditions are negotiated directly between buyers and sellers. PATHLIGHT assumes no responsibility for payment disputes, non-payment, or financial losses arising from transactions.

5.3 No Transaction Guarantee

PATHLIGHT does not guarantee that any RFQ will receive responses, that any quotation will be accepted, or that any transaction will be completed. The Platform serves exclusively as a facilitation tool.

6. Intellectual Property Rights

6.1 Platform Ownership

The Platform, including its original content, features, functionality, software, design, and branding, is owned by PATHLIGHT and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 User Content License

By submitting content to the Platform (product listings, company information, documents, etc.), you grant PATHLIGHT a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with operating and promoting the Platform.

6.3 Third-Party Content

You acknowledge that product listings and other user-generated content remain the responsibility of the users who post them. PATHLIGHT does not endorse, verify, or guarantee the accuracy of such content.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties regarding accuracy, reliability, or completeness of Platform information
• Warranties that the Platform will be uninterrupted, secure, or error-free
• Warranties regarding quality, safety, or legality of products listed on the Platform
• Warranties regarding performance or business practices of Platform users

8. Limitation of Liability

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PATHLIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or business interruption
• Personal injury or property damage
• Claims by third parties
• Transaction disputes or financial losses

8.2 Liability Cap

IN NO EVENT SHALL PATHLIGHT’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE AMOUNT OF USD $100 OR THE AMOUNT PAID BY YOU TO PATHLIGHT IN THE SIX (6) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

8.3 Basis of Bargain

The limitations and exclusions of liability set forth in this Section 8 form an essential basis of the bargain between you and PATHLIGHT.

9. Indemnification

You agree to defend, indemnify, and hold harmless PATHLIGHT, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Platform
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations
• Any claims related to products or services you offer through the Platform

10. Termination and Suspension

10.1 Termination by You

You may terminate your account at any time by contacting us at info@pathlightglobal.hk

10.2 Termination by PATHLIGHT

We reserve the right to suspend or terminate your access to the Platform, with or without notice, for any reason, including:

• Violation of these Terms
• Suspicion of fraudulent or illegal activity
• Failure to complete verification requirements
• Prolonged inactivity
• At our sole discretion

10.3 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved through good faith negotiations between the parties. If negotiations fail, the dispute shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

12. General Provisions

12.1 Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the “Last Updated” date. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

12.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

12.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PATHLIGHT regarding the Platform and supersede all prior or contemporaneous understandings or agreements.

12.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.6 Force Majeure

PATHLIGHT shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, or power failures.
